Terms of service
1. Scope and provider
These terms apply to the use of Agorium, the virtual office at app.agorium.eu. The provider is Christian Wenterodt (Kasoria), Birkenweg 9, 21629 Neu Wulmstorf (see the imprint). They apply to businesses and to consumers. Terms of the customer that differ do not apply, even if we do not expressly object to them.
2. Service
Agorium is a web application. It includes the features described on this website, such as the map, video and chat by proximity, workspace, files, whiteboard and the connection of AI agents. We keep developing Agorium and may change features as long as the core of the service stays. We aim for high availability but do not promise a specific level. Maintenance can interrupt use briefly.
3. Account and spaces
Any use requires an account with an email address and a password, guests included. The details given at registration must be correct. Credentials must be kept secret. If you suspect that someone unauthorised has access, change the password and tell us.
Whoever creates a space is its owner. The owner takes out and pays for the subscription and decides on members’ roles. Members and guests join a space without entering into a contract about the subscription themselves.
4. Prices, seats and trial
The price depends on the number of seats. Everyone with the role admin, builder or member takes up a seat. Guests and AI agents do not. Current prices are on the pricing page: €10 per seat per month when paying monthly, €8 per seat per month when paying yearly (€96 per seat for a year up front). The number of paid seats follows the number of people in the space.
Every new space can be used free for 14 days from creation, without a payment method. Afterwards the space is locked while there is no subscription. Then only the owner can still get in. With a subscription the space is open to everyone again right away. The lock does not delete any content.
5. Payment
Payment is processed by Creem as merchant of record. Creem collects the price, shows any VAT depending on the country and issues the invoice. You enter card and payment details with Creem, not with us. Creem’s terms apply in addition for payment processing. If a payment fails, Creem tries again. If payment stays outstanding, the space is locked.
6. Term and cancellation
The subscription runs for one month or one year, depending on the payment option you chose, and renews for the same period. You can cancel at any time, in the customer portal through the settings of the space or by email to hi@agorium.eu. Cancellation takes effect at the end of the paid period. Until then the space remains usable. Periods already paid are not refunded pro rata unless the law or section 7 provides for it. The right to terminate for good cause remains unaffected.
If you delete the space or your account, we also end the subscription of that space.
7. Withdrawal and refunds
If you are a consumer you have a statutory right of withdrawal of 14 days from the conclusion of the contract. You declare withdrawal informally, for example by email to hi@agorium.eu. If you expressly asked us to start the service during the withdrawal period, you pay the part of the price that corresponds to the period used until then if you withdraw.
Beyond that we look at refund requests case by case. Write to us at hi@agorium.eu, we reply within three business days. Creem pays out refunds.
8. Duties when using Agorium
You must not use Agorium for unlawful content, harassment, spam or attacks on the application or on others. You are responsible for the content that you and the members of your space post and for being entitled to do so. This also applies to AI agents you connect and to the credentials with their providers. In case of a serious or repeated breach we may block accounts or spaces. We inform you beforehand where that is possible and reasonable.
9. Content and data
Your content stays yours. We only use it to provide Agorium to you. If you delete a space, all messages, files and the map are deleted permanently. How we process personal data is described in the privacy policy.
10. Liability
We are liable without limit for intent and gross negligence, for injury to life, body and health and under the Product Liability Act. For slightly negligent breach of an essential contractual duty, that is a duty you may rely on being fulfilled, our liability is limited to the foreseeable damage typical for this kind of contract. Otherwise liability for slight negligence is excluded. For loss of data we are only liable to the extent the loss would have occurred had you backed up regularly.
11. Changes to these terms
We may change these terms and the prices. We announce this by email at least 30 days ahead. You can then cancel at the end of the current period. If you do not cancel, the change applies from the announced day.
12. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this applies only as far as mandatory provisions of their country of residence do not say otherwise. If a provision is invalid, the others remain valid.
You can reach support at hi@agorium.eu. We reply within three business days.
